0Terms of Service

This Terms of Service Agreement ("Agreement") is entered into by and between AppEQPlus India Private Limited, a company incorporated under the laws of India with its principal place of business in Bengaluru, Karnataka ("AppEQ", "Company", "we", "us"), the owner and operator of HuskyVoiceAI (a product from AppEQ), and the individual or legal entity accessing or using the Services ("Customer" or "you"). If you are accepting this Agreement on behalf of an organization, you represent that you have authority to bind that organization. By accessing or using the Services, you agree to be bound by this Agreement.

1Services Overview

  • HuskyVoiceAI provides AI-powered voice automation services including:
  • • Inbound AI receptionists
  • • Outbound AI calling agents
  • • Call routing and IVR automation
  • • Call recording and transcription
  • • Real-time AI translation
  • • Workflow automation and analytics
  • • Integrations with third-party tools
  • Services are provided pursuant to online subscription, dashboard activation, and/or Order Forms (where applicable). The "Effective Date" is the earlier of first access or execution of an Order Form.

2Modifications

We may update this Agreement from time to time. Material changes will be notified via email or dashboard notice and will take effect upon renewal unless required earlier for legal compliance. If changes materially reduce your rights, you may terminate within 30 days of notice and receive a pro-rata refund of prepaid unused subscription fees.

3Definitions

  • "Services" – The HuskyVoiceAI platform and related offerings.
  • "Customer Data" – Data submitted, transmitted, or generated via the Services, including recordings, transcripts, metadata, and contact data.
  • "User" – Any person authorized by Customer to use the Services.
  • "Subscription Term" – The paid access period selected by Customer.
  • "AUP" – AppEQ's Acceptable Use Policy, incorporated by reference.

4Account Responsibilities

Customer agrees to maintain accurate information, secure its credentials, ensure Users comply with this Agreement, and use the Services in compliance with applicable laws. Customer is responsible for all activity under its account.

5License to Use Services

AppEQ grants Customer a limited, non-exclusive, non-transferable right to access and use the Services during the Subscription Term. Customer shall not reverse engineer, copy, circumvent security measures, or use the Services for unlawful purposes.

6Telecommunications & Automated Communication Compliance

Because the Services enable automated voice communication, Customer is solely responsible for compliance with applicable telecom and communication laws.

6.1 India Compliance (TRAI, DND, Consent)

Customer is responsible for compliance with TRAI regulations, DND registry requirements, call recording notice/consent laws, AI voice disclosure requirements (where applicable), and DPDP Act obligations.

6.2 US / International Compliance (If Applicable)

If Customer uses Services for calling into or within other jurisdictions (including the United States), Customer is responsible for compliance with applicable laws including TCPA and Do-Not-Call rules.

6.3 Consent Documentation

Customer represents that it has obtained all required consents prior to initiating outbound automated calls and will maintain documentation of such consent and honor opt-out requirements.

6.4 Acceptable Use Policy (AUP)

Customer agrees to comply with AppEQ's Acceptable Use Policy ("AUP"), which is incorporated into this Agreement by reference. The AUP includes restrictions designed to prevent fraud, spam, unlawful calling, impersonation, and other abuse.

7Call Recording & Disclosure Responsibility

Customer is solely responsible for configuring and providing any legally required disclosures and obtaining any required consents for call recording, AI voice disclosure, and local "two-party consent" or similar requirements. Customer acknowledges that laws on recording and disclosure vary by jurisdiction and use case. AppEQ provides technical capabilities; Customer is responsible for lawful use and configuration.

8KYC, Number Provisioning & Eligibility

  • Certain Services (including phone number provisioning and telecom connectivity) may require Customer to complete identity verification, business verification, or other compliance checks ("KYC") as required by AppEQ, telecom carriers, regulators, or third-party providers.
  • AppEQ may:
  • • Decline to provision numbers if required information is not provided
  • • Suspend or restrict telecom functionality where required by carriers/regulators
  • • Reclaim or reassign numbers where necessary due to regulatory, technical, or provider constraints
  • Customer must provide accurate and current information for provisioning and compliance purposes.

9Responsible AI Use

Customer shall not use the Services to impersonate real individuals without lawful authorization, clone voices without consent, engage in fraud/scams/harassment, or conduct unlawful influence activity. Customer is responsible for scripts, prompts, call logic, and outbound content deployed through the platform.

10Data Ownership & Processing

Customer retains ownership of Customer Data. AppEQ processes Customer Data solely to provide the Services, maintain reliability, and ensure security/compliance.

AI Model Training

AppEQ does not use Customer Data to train public AI models without explicit written agreement. Certain third-party AI inference providers may process data transiently to generate responses. For details, see our Security page.

11Data Residency

By default:

  • Data is hosted in AWS Mumbai (ap-south-1)
  • MongoDB Atlas (Mumbai region) stores structured data
  • S3 (Mumbai region) stores recordings and files

Enterprise customers may request alternate regional provisioning where supported. AI inference providers may process transcripts outside India depending on provider location. Additional details are available in our Data Processing Agreement.

12Data Retention & Deletion

Unless otherwise agreed:

  • Customer Data is deleted within sixty (60) days of termination
  • Backups are purged within ninety (90) days
  • Customers may export data during active subscription

Details are governed by the Data Retention Policy.

13Sub-Processors

AppEQ may engage third-party sub-processors to provide the Services. The current Sub-Processor List is available at /subprocessors.

AppEQ may update this list from time to time in accordance with the DPA. Material changes will be communicated in accordance with applicable contractual obligations.

14Subscription, Fees & Payment

14.1 Subscription Term & Auto-Renewal

Subscriptions are purchased for the period selected at checkout or in an Order Form. Unless cancelled before renewal, subscriptions automatically renew for the same term at then-current pricing. Customer may disable auto-renewal via dashboard.

14.2 Usage-Based Charges

Certain Services are billed based on usage, including call minutes, AI inference, phone number provisioning, and international calling. Usage may be billed in arrears or deducted from prepaid credits.

14.3 Prepaid Credits

Where Customer purchases prepaid credits: Credits are valid for three (3) months from purchase, unused credits expire automatically, credits are non-transferable and non-refundable except for billing errors. If the account is terminated or suspended, unused credits lapse immediately.

14.4 Fees & Taxes

All Fees are exclusive of applicable taxes and are payable in full without deduction. Fees are non-refundable except as expressly stated.

14.5 Refund Policy

Except where required by law: Subscription fees are non-refundable once the term begins, prepaid credits are non-refundable, phone number provisioning charges are non-refundable once allocated. Refunds may be granted only for duplicate payments, billing errors, or confirmed material service failure, at AppEQ's discretion.

14.6 Suspension for Non-Payment

AppEQ may suspend Services after 15 days of written notice for unpaid fees.

15Support, Maintenance & Service Availability

15.1 Support

AppEQ provides customer support via email at support@huskyvoice.ai. Support response times may vary based on plan tier and severity.

15.2 Maintenance

AppEQ may perform scheduled maintenance from time to time. Where feasible, AppEQ will provide advance notice via dashboard or email.

15.3 Service Availability & SLA

Service availability commitments and remedies (if any) are described in our Service Level Agreement (\"SLA\"). The SLA applies only to Enterprise customers or those with an Order Form that explicitly references it.

15.4 Carrier / Third-Party Dependency

Customer acknowledges that certain aspects of the Services depend on third-party telecom carriers, connectivity providers, and AI inference providers. AppEQ is not responsible for outages, latency, or service limitations caused by third-party networks or providers beyond AppEQ's reasonable control.

16Confidentiality

Each party agrees to protect the other's Confidential Information and use it solely to fulfill obligations under this Agreement.

17Intellectual Property

AppEQ retains all rights, title, and interest in the platform, software, AI models, documentation, and derivatives/improvements. No ownership is transferred to Customer.

18Warranties & Disclaimer

Services are provided "AS IS" and "AS AVAILABLE." AppEQ disclaims implied warranties including merchantability and fitness for a particular purpose.

19Limitation of Liability

To the maximum extent permitted by law: Neither party shall be liable for indirect or consequential damages. Aggregate liability shall not exceed fees paid in the 12 months preceding the claim. This limitation does not apply to fraud or willful misconduct.

20Indemnification

Customer shall indemnify AppEQ from claims arising from telecom violations, lack of required consent, fraudulent use, voice impersonation misuse, or other unlawful conduct by Customer or its Users.

21Suspension & Termination

Either party may terminate with 30 days written notice. AppEQ may suspend or terminate immediately for telecom violations, fraud/abuse, non-payment, or material breach. Data deletion follows Section 12.

22Governing Law

This Agreement shall be governed by the laws of India. The courts of Bengaluru, Karnataka shall have exclusive jurisdiction.

23Entire Agreement & Order of Precedence

This Agreement, together with the following documents incorporated by reference, constitutes the entire agreement:

If there is a conflict between this Agreement and the DPA relating to processing of personal data, the DPA will prevail.
